We would like to welcome you (Vendor/Client) to the ZAMZILLA Platform. By accessing and using our platform, you agree to the terms and conditions outlined in this document. These terms and conditions form a legally binding agreement between you and SnapOpportunity.
2. Scope of Services
ZAMZILLA develops subscription based business as a service (BaaS) platforms that connects buyers and sellers around the globe to provide customers with products, services, and solutions. While we strive to maintain high ethical standards, we do not guarantee the accuracy of the information provided by clients, partners and/or sellers. It is the responsibility of buyers to conduct their own due diligence before making a purchase.
3. Fees and Payments
We do not charge any fees to buyers for using our platform. However, sellers, businesses, and service providers may be required to pay fees for marketing, advertising, platform usage, and the sale of their products. The fee structure will be discussed and approved by both parties in writing or by accepting one or more of the subscription packages. We reserve the right to remove any partner listing from our website at any time without notice.
4. Non-Disclosure Agreement
4.1 The Vendor/Client/Customer/Partner agrees to maintain the confidentiality of any confidential information disclosed by ZAMZILLA during the course of this Agreement.
4.2 The The Vendor/Client/Customer/Partner shall not disclose any confidential information to any third party without the prior written consent of ZAMZILLA.
4.3 The obligations of confidentiality shall survive the termination or expiration of this Agreement.
5. Term and Termination
5.1 This Agreement shall commence on the date of registration on the ZAMZILLA Platform and shall continue until terminated by either party.
5.2 Upon termination, the The Vendor/Client/Customer/Partner shall cease providing services through the ZAMZILLA’s developed platform, directory, marketplace, advertisement, and any outstanding fees or payments shall be settled according to the agreed-upon terms.
6. Governing Law and Jurisdiction
6.1 This Agreement shall be governed by and construed in accordance with the laws of the state of California.
6.2 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Alameda County Court of the state of California.
7. Entire Agreement
7.1 This Agreement constitutes the entire agreement between ZAMZILLA and the Vendor/Client and supersedes all prior agreements, understandings, or representations, whether oral or written.
7.2 Any modifications or amendments to this Agreement must be made in writing and signed by both parties.
8. Additional Provisions
8.1 Indemnification: The Vendor/Client/Customer/Partner agree to indemnify, defend, and hold harmless ZAMZILLA from any claims, damages, losses, or expenses arising out of or related to their participation in the marketplace.
8.2 Intellectual Property: The Vendor/Client/Customer/Partner retain all rights to their intellectual property. However, by listing products and services on SnapOpportunity, The Vendor/Client/Customer/Partner grant ZAMZILLA a non-exclusive, worldwide, royalty-free license to use, display, and promote their listings.
8.3 Compliance with Laws: The Vendor/Client/Customer/Partner agree to comply with all applicable laws and regulations related to their participation in the ZAMZILLA marketplace.
8.4 Customer Support Services: The Vendor/Client/Customer/Partner agree to provide support services directly to customers and handle all customer inquiries, complaints, and issues. All communications’ data shall be provided to ZAMZILLA during any disputes to ensure transparency and resolution.
8.5 Policies and Rules: The Vendor/Client/Customer/Partner shall publish their policies and rules on the marketplace in their designated area within their stores. This includes return policies, warranty information, and any other relevant terms that customers need to be aware of.
9. Subscription-Based Model
9.1 Subscription Access: Our platform, developed by ZAMZILLA, for Vendor/Client/Customer/Partner operates on a subscription-based model. Access to the platform will be terminated if a customer pauses or cancels their regular subscription or during the pilot program.
9.2 Platform Ownership: The Vendor/Client/Customer/Partner does not own the platform. Data, including analytics and leads, will be shared as part of the service provided.
9.3 Content Ownership: All content and blogs created with the assistance of AI and automation during the subscription phase, including the pilot program, will be owned by the platform. Any original content created by the user without the help of AI will remain the user’s property.
10. Consent for 3-Months Trial Period
10.1 Trial Period: The trial period is to provide the Vendor/Client/Customer/Partner the opportunity to evaluate the AI-driven platform that ZAMZILLA develops or has developed for the clients and customers.
10.2 Fees: The agreed monthly subscription fee, which will be invoiced to the Customer, is non-refundable.
10.3 Results: There is no guarantee on the actual results; however, ZAMZILLA aims to generate the desired outcome.
10.4 Cancellation: The Customer may cancel the project after 3 months of efforts without any reason.
10.5 Privacy Policy and Terms and Conditions: ZAMZILLA’s Privacy Policy and Terms and Conditions apply.
10.6 Confidentiality: Both parties agree to keep all information related to the platform, including but not limited to, technical specifications, business strategies, and customer data, confidential. This confidentiality obligation will survive the termination of this Agreement.
10.7 Limitation of Liability: ZAMZILLA and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) the Customer’s use of the platform; (b) any unauthorized access to or use of ZAMZILLA’s servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the platform; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the platform by any third party; (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the platform; and/or (f) the defamatory, offensive, or illegal conduct of any third party.
10.8 Google Ads Budget Allocation: For customers utilizing the ZAMZILLA package with Google Ads, we will allocate a budget of up to $100 towards Google Ads campaigns. Any expenditure exceeding the $100 budget will require prior approval from the customer. The customer must agree to cover any additional costs above the allocated amount. By subscribing to this package, the customer acknowledges and accepts these terms.
11. Data Sharing and Privacy
11.1 Data Processing: By using the platform, the customer agrees to the sharing and processing of data as outlined in our privacy policy.
12. Intellectual Property
12.1 Intellectual Property Rights
All intellectual property rights related to the platform and its services are reserved by ZAMZILLA and/or its copyright holders. Users are granted a limited license to use the platform in accordance with the terms of their subscription.
12.2 Client-Created Content
Any content created and uploaded by the client to the platform, including but not limited to video, audio, blogs, articles, guides, etc., shall remain the sole copyright of the client. The client reserves the right to request the removal of such intellectual property from the platform upon the termination of our engagement.
12.3 Content Generated by ZAMZILLA’s AI
Any content generated by ZAMZILLA’s, excluding client-provided materials (e.g., video, audio, blogs, articles, guides), shall remain the intellectual property of SnapOpportunity.
13. Service Termination
13.1 Termination Rights: ZAMZILLA reserves the right to terminate or suspend access to the platform for any user who breaches these Terms and Conditions or engages in activities that violate our policies.
14. Modifications to Terms
14.1 Amendments: ZAMZILLA may modify these Terms and Conditions at any time. Users will be notified of any significant changes, and continued use of the platform will be deemed acceptance of the updated terms.
14.2 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

This agreement (“Agreement”) is made between ZAMZILLA, ZAM ZILLA LLC, a legal entity based in the State of California, and the customer (“Customer”) for a 3-month trial period of ZAMZILLA’s AI-driven platform.
Trial Period: The trial period is to provide the Customer the opportunity to evaluate the AI-driven platform that ZAMZILLA develops or has developed for the Customer.
