📘 Zamzilla Terms and Conditions

Effective Date: 03/01/2026 Applies to: Zamzilla LLC, SnapOpportunity.com, aiCopilotX.com, and all platforms developed, hosted, or managed by Zamzilla.

1. Introduction

By accessing or using any Zamzilla platform, service, subscription, or agentic application, you agree to these Terms and Conditions. This agreement is legally binding between you and Zamzilla LLC and applies to all subscription-based platforms, directories, marketplaces, and AI-powered systems developed, hosted, or managed by Zamzilla.

2. Scope of Services

Zamzilla provides AI-powered Business‑as‑a‑Service (BaaS) platforms, GEO/SEO authority systems, agentic applications, and automation tools designed to help businesses increase visibility, trust, and operational efficiency. Zamzilla does not guarantee leads, revenue, rankings, or business outcomes. Users are responsible for their own due diligence.

3. Fees, Payments & Non‑Dispute Policy

3.1 Payment Terms

All subscription fees, setup fees, development fees, and service fees are:

  • Non‑refundable
  • Non‑disputable
  • Non‑reversible
  • Not eligible for chargebacks under any circumstances

By subscribing, the client waives all rights to dispute payments through their bank, credit card provider, or payment processor.

3.2 Billing

All payments are due on the billing date. Failed payments may result in immediate suspension of services.

3.3 No Refunds

Zamzilla does not provide refunds for any reason, including but not limited to:

  • Performance dissatisfaction
  • Perceived lack of results
  • Early cancellation
  • Business changes
  • Misunderstanding of services

4. Domain Ownership, Transfer & Platform Rights

4.1 Domain Ownership

All platform domains purchased, owned, or provisioned by Zamzilla remain the exclusive property of Zamzilla LLC.

Clients cannot:

  • Purchase the domain
  • Assume ownership
  • Request transfer
  • Claim rights to the domain
  • Use the domain outside of Zamzilla’s ecosystem

4.2 Domain Transfer (If Zamzilla Chooses to Allow It)

Zamzilla is not obligated to transfer any domain. If Zamzilla voluntarily agrees to transfer a domain:

  • Domain Transfer Fee: $4,500
  • Platform Content Transfer Fee: $15,000
  • Total if both are transferred: $19,500

These fees must be paid in full before any transfer begins.

4.3 Platform Ownership

All platforms, systems, templates, workflows, AI tools, and backend architecture remain the exclusive property of Zamzilla.

Clients receive licensed access, not ownership.

5. Confidentiality

Both parties agree to maintain confidentiality of all proprietary, technical, strategic, and operational information. This obligation survives termination.

6. Term & Termination

Zamzilla may suspend or terminate services at any time for:

  • Non‑payment
  • Abuse of platform
  • Attempted reverse engineering
  • Violation of terms
  • Competitive conflicts

Upon termination:

  • All services cease immediately
  • Outstanding balances must be paid
  • Client access to the platform, domain, and tools ends
  • No refunds are issued

7. Governing Law

This agreement is governed by the laws of California. All disputes shall be resolved exclusively in Alameda County, CA.

8. Entire Agreement

This document supersedes all prior agreements. Amendments must be in writing and signed by both parties.

9. Additional Provisions

9.1 Mutual Indemnification

Each party indemnifies the other for claims arising from their own actions.

9.2 Intellectual Property

  • Clients retain rights to content they upload.
  • Zamzilla retains rights to all AI‑generated content, platform content, templates, workflows, and system architecture.
  • All platform IP remains with Zamzilla.

9.3 Compliance

Clients must comply with all applicable laws.

9.4 Customer Support

Clients are responsible for supporting their own customers.

9.5 Store Policies

Clients must publish their own policies (returns, warranties, etc.).

10. Subscription Model

  • Access is subscription-based.
  • Paused or canceled subscriptions result in immediate suspension.
  • Platform ownership always remains with Zamzilla.
  • Data may be exported upon request, excluding proprietary content.

11. 3‑Month Trial Period

11.1 Trial

Clients may evaluate the platform during the trial period.

11.2 Fees

All fees remain non‑refundable.

11.3 No Guarantees

Zamzilla does not guarantee leads, rankings, or outcomes.

11.4 Cancellation

Clients may cancel after 3 months.

12. Platform Access & Use

Clients may not:

  • Access backend systems
  • Access source code
  • Access proprietary tools
  • Modify platform architecture
  • Interfere with system functionality

Zamzilla may provide dashboards, reports, or API access at its discretion.

13. Agentic App Development & Source Code Ownership

13.1 Ownership

All agentic apps, workflows, automations, prompts, logic, and source code developed by Zamzilla remain 100% owned by Zamzilla, regardless of who paid for development.

13.2 Infrastructure

Agentic apps may run on:

  • OpenAI
  • Azure
  • Google Cloud
  • AWS
  • Other third‑party AI or cloud providers

Zamzilla is not responsible for outages, rate limits, policy changes, or failures of third‑party systems.

13.3 Restrictions

Clients may not:

  • Request source code
  • Replicate the agentic app
  • Build competing systems
  • Reverse engineer workflows
  • Hire third parties to recreate Zamzilla’s systems

13.4 Licensing

Clients receive usage rights only, not ownership.

14. Limitation of Liability

Zamzilla is not liable for:

  • Lost revenue
  • Lost data
  • Service interruptions
  • Third‑party failures
  • Security breaches caused by client actions
  • Indirect or consequential damages

15. Data Sharing & Privacy

By using the platform, clients consent to data processing as outlined in the Privacy Policy.

16. Modifications to Terms

Zamzilla may update these terms with 30 days’ notice. Continued use constitutes acceptance.

17. Hosting & Web Development Services

(Applies to all websites, WordPress builds, web apps, and hosting services provided by Zamzilla LLC.)

17.1 Third‑Party Hosting, Cloud Infrastructure & CDNs

Zamzilla provides hosting services through third‑party cloud platforms, including but not limited to Google Cloud Platform (GCP), and utilizes third‑party Content Delivery Networks (CDNs) to enhance performance, security, and scalability.

  • Zamzilla does not own or control these infrastructures.
  • All uptime, performance, availability, and security are subject to the policies and operational stability of these third‑party providers.
  • Zamzilla is not liable for outages, downtime, rate limits, data loss, or service interruptions caused by any third‑party system. This aligns with existing provisions regarding third‑party dependencies and infrastructure limitations.

17.2 Scope of Web Development Services

Zamzilla offers one‑time web development services that typically include 5 to 7 pages built on WordPress or as a custom web application.

  • Web development is a one‑time fee, not a subscription.
  • No ongoing updates, maintenance, redesigns, or content changes are included unless separately contracted.
  • Support applies only to hosting‑related issues and does not include modifications or enhancements to the one‑time development deliverable.
  • Zamzilla does not provide SEO, GEO‑optimization, ranking services, or traffic‑generation services as part of web development. This is consistent with the “no guarantees” and “no performance obligations” already stated in the Terms.

17.3 No Guarantees of Traffic, Leads, or Performance

Zamzilla does not guarantee:

  • Website traffic
  • Search engine rankings
  • Lead generation
  • Business outcomes
  • Any form of performance results Clients acknowledge that all business outcomes depend on their own marketing, operations, and external factors outside Zamzilla’s control. This reinforces the existing “no guarantees” clauses.

17.4 Content Ownership & Intellectual Property

  • Client‑created content (text, images, videos, documents) remains the property of the client.
  • Zamzilla‑generated content, including AI‑generated content, templates, workflows, designs, and system‑generated assets, remains the exclusive property of Zamzilla.
  • All proprietary tools, templates, workflows, and backend systems remain owned by Zamzilla. This aligns with the Intellectual Property provisions in Section 9.2.

17.5 Content Removal, Data Retention & Retrieval Fees

If hosting services are suspended, canceled, or terminated for any reason:

  • Clients must remove all of their content within 48 hours of notice.
  • After 48 hours, Zamzilla may remove, delete, purge, or archive any or all content at its sole discretion.
  • Zamzilla is not obligated to retain or preserve any content after termination.
  • If a client requests retrieval of purged, archived, or backed‑up content, and if retrieval is technically possible, the client must pay a $5,000 retrieval fee, payable only after Zamzilla confirms feasibility.
  • Zamzilla does not guarantee that any deleted or archived content can be recovered. This is consistent with the platform access, termination, and data export limitations in Sections 6, 10, and 14.

17.6 No Refunds & No Warranty

All hosting fees, development fees, setup fees, and service fees are:

  • Non‑refundable
  • Non‑disputable
  • Not eligible for chargebacks
  • Not contingent on performance or outcomes All services are provided “as‑is” with no warranties, express or implied, including warranties of performance, uptime, merchantability, or fitness for a particular purpose. This reinforces Section 3 (Non‑Refund Policy) and Section 14 (Limitation of Liability).

17.7 Indemnification & Liability Protection

Clients agree to indemnify and hold harmless Zamzilla LLC, its owners, employees, contractors, affiliates, and partners from any claims arising from:

  • Use or misuse of the website
  • Hosting interruptions or failures
  • Third‑party platform outages
  • Security breaches caused by client actions
  • Client‑provided content or materials
  • Any business losses, including lost revenue, lost leads, or lost opportunities This aligns with the mutual indemnification provisions in Section 9.1.

17.8 Prohibited Actions

Clients may not:

  • Access backend systems, source code, or proprietary tools
  • Attempt to reverse engineer any part of the hosting or development environment
  • Modify hosting configurations without authorization
  • Introduce plugins, scripts, or code that compromise security or performance
  • Use the hosting environment for illegal, abusive, or high‑risk activities Violations may result in immediate suspension or termination without refund, consistent with Section 6.

17.9 Survival of Terms

All ownership, indemnification, non‑refund, confidentiality, and limitation‑of‑liability provisions survive termination of hosting or development services.

18. Channel Partner Non‑Circumvention

18.1 Non‑Circumvention Requirement

Clients agree that all services related to GEO/SEO platforms, backlinks, content publishing, consulting, automation, agentic applications, or any services similar to or derived from Zamzilla’s offerings must be purchased exclusively through Zamzilla LLC or through an authorized Zamzilla channel partner with written approval from Zamzilla.

Clients are strictly prohibited from:

  • Engaging directly with any Zamzilla channel partner, contractor, vendor, or affiliate for services similar to those provided by Zamzilla.
  • Purchasing GEO/SEO services, backlinks, blog publishing, consulting, or related services directly from a Zamzilla partner without Zamzilla’s written consent.
  • Attempting to bypass Zamzilla’s pricing, commission structure, or partner program.
  • Inducing or encouraging a Zamzilla partner to provide services outside of Zamzilla’s approved workflow.

18.2 Protection of Zamzilla’s Partner Ecosystem

Zamzilla invests in training, onboarding, and supporting channel partners to deliver GEO/SEO services, backlinks, content publishing, and platform‑related consulting. Any attempt by a client to bypass Zamzilla undermines:

  • Zamzilla’s commission structure
  • Partner training investments
  • Platform integrity
  • Service quality and compliance
  • Contractual obligations between Zamzilla and its partners

Such actions are considered a material breach of this Agreement.

18.3 Liability for Damages

If a client circumvents Zamzilla and engages directly with a channel partner:

  • The client assumes full responsibility for all damages, including operational, financial, reputational, and technical harm.
  • Zamzilla may assess damages that may be irreparable or unrepairable, including loss of platform integrity, SEO/GEO degradation, backlink contamination, or system misconfiguration.
  • Zamzilla may charge a Non‑Circumvention Penalty Fee of $25,000, in addition to any actual damages incurred.
  • Zamzilla may immediately suspend or terminate all services without refund.

18.4 Partner Misconduct Reporting

If a Zamzilla partner attempts to sell services directly to a client—such as backlinks, GEO/SEO services, blog publishing, or consulting—without Zamzilla’s approval, the client must notify Zamzilla immediately. Failure to report such misconduct constitutes participation in circumvention.

18.5 Survival of Obligations

This non‑circumvention clause survives:

  • Termination of services
  • Cancellation of subscriptions
  • Expiration of agreements
  • Platform access revocation
  • Domain or content transfer
  • Any disconnection between the parties

Clients remain bound by this clause for five (5) years from the date of termination.
